These terms and conditions ("Agreement") govern your use of the consulting services provided by Johnston Consulting Group ("Consultant," "we," or "us"). By engaging our services, you agree to be bound by this Agreement.
- Services: a. We will provide consulting services as agreed upon between you and the Consultant. b. The scope of the services will be outlined in a separate agreement or proposal.
- Client Responsibilities: a. You agree to provide accurate and complete information necessary for the provision of our consulting services. b. You are responsible for implementing any recommendations or strategies provided by the Consultant.
- Confidentiality: a. We will keep any confidential information shared by you during the consulting process confidential and will not disclose it to third parties, except as required by law.
- Intellectual Property: a. Any intellectual property rights arising from our consulting services, including but not limited to reports, recommendations, and strategies, belong to the Consultant unless otherwise agreed upon in writing.
- Payment: a. Payment for our consulting services will be outlined in a separate agreement or proposal. b. Payment terms, including any applicable fees, invoicing schedule, and payment methods, will be specified in the agreement or proposal.
- Limitation of Liability: a. We will provide our consulting services with reasonable care and skill. However, we do not guarantee specific outcomes or results. b. To the extent permitted by law, we are not liable for any direct, indirect, incidental, or consequential damages arising from your use of our consulting services.
- Termination: a. Either party may terminate this Agreement by providing written notice. b. Upon termination, you agree to pay any outstanding fees for services rendered up to the termination date.
- Governing Law: a. This Agreement shall be governed by and interpreted in accordance with the laws of Indiana, without regard to its conflict of law principles.
- Entire Agreement: a. This Agreement constitutes the entire agreement between you and the Consultant, superseding any prior agreements or understandings.
